Luck was the one who initially sent the Cease-And-Desist order, so more than likely Leaf is asking the court for a Declaratory Judgment that what they're doing is lawful. Otherwise Luck could shake them down for millions later.

Sort of a prophylactic against future shakedowns.

I first thought of FRCP 11(b), can't submit cases that are frivolous in nature or are meant to harrass, etc.

Then I read on and realized that Luck sent the cease and desist. As Houstonian put so aptly, this is pretty much a preemptive strike. Still more than anything a giant waste of time and money.
